This End User License Agreement (“Agreement”) is between you (“Licensee”) and YILMAZ YENIYOL LLC, a Florida limited liability company based in Boca Raton, Florida (“Licensor”), publisher of the YY Plugins product line by Yılmaz Yeniyol. By installing, activating, or using any YY Plugins software (“Software”), you agree to this Agreement.
Purchases are processed by Paddle as merchant of record; Paddle’s buyer terms govern the payment transaction itself. This Agreement governs your use of the Software.
1.1 Perpetual License (paid products). Upon payment, Licensor grants you a perpetual, non-exclusive, non-transferable license to install and use the purchased Software on up to three (3) machines that you own or control, for personal and commercial purposes, including paid live events.
1.2 All Access Subscription. While your YY All Access subscription is active, Licensor grants you a non-exclusive, non-transferable license to install and use all DSP plugins in the YY Plugins catalog, including PX modules released during your subscription, on up to three (3) machines. This license remains valid for up to thirty (30) days without an internet connection (offline grace); it re-validates automatically when a connection is available.
1.4 Free Suite. RP-1, LM-2, HN-6 and MB-1 are licensed free of charge for personal and commercial use. Sections 3, 5, 6, 7 and 8 apply in full.
1.5 Demo versions. Demo builds are licensed for evaluation only and may include intentional limitations.
2.1 Paid Software is activated with an offline, cryptographically signed license key file issued to you personally. No hardware dongle, third-party license manager, or persistent internet connection is required for Perpetual Licenses.
2.2 License keys are personal. You may not sell, share, publish, or otherwise distribute a license key. A license key found to be shared publicly, resold, or obtained through payment fraud or an abusive chargeback may be revoked.
2.3 You may request a transfer of a Perpetual License to another person by contacting Licensor; transfers are granted at Licensor’s reasonable discretion and void the transferor’s right to use the Software.
You may not: (a) reverse engineer, decompile, or disassemble the Software except to the extent permitted by applicable law; (b) redistribute, rent, lease, or host the Software for third-party use; (c) circumvent or attempt to circumvent license enforcement; (d) use the Software to develop a competing product by systematic analysis of its output.
4.1 Updates within the same major version are free for all licensees of that product.
4.2 Founder licenses (the first fifty (50) licenses of each product sold at Founder pricing (SC-16, TZ-12, the PX Series and the YY Bundle)) include all future updates of the purchased product, including major versions, at no additional cost, for the lifetime of the product line.
4.3 All Access subscribers always receive the latest versions while subscribed.
The Software, including its DSP algorithms, user interfaces, graphics, product names (SmartControl, TraceZero, Rack-Plug, VoxStage, the PX series) and the YY mark, is owned by Licensor and protected by copyright and other intellectual property laws. This Agreement grants a license, not a sale of the Software.
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LICENSOR BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
Refunds are available within fourteen (14) days of purchase as described in the Refund Policy.
This Agreement terminates automatically if you materially breach it. Upon termination you must cease using the Software and destroy all copies. Sections 5–8 survive termination.
This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Exclusive venue lies in the state or federal courts located in Palm Beach County, Florida.
